These Terms & Conditions ("Terms") govern your access to and use of the website at www.tranquilsystems.com (and any associated domains, sub-domains, or mobile versions) (collectively, the "Site"), including all services, features, content, tools, and functionalities offered by Tranquil Systems, Inc.("Tranquil," "we," "us," or "our"). Use of the Site constitutes your agreement to these Terms. If you do not accept them, do not use or access the Site.
1. Scope and Acceptance
Binding Agreement: By using theSite, submitting requests, or otherwise accessing its content, you agree to be bound by these Terms.
Modifications: We reserve the right, in our sole discretion, to modify or update these Terms at any time. We will post the revised Terms on the Site and update the "Last Updated" date accordingly. Continued use of the Site after changes constitutes acceptance of the new Terms.
Eligibility: You represent that you are of legal age in your jurisdiction (e.g., 18 or above) and have the capacity to agree to these terms & conditions. You agree to comply with all applicable laws in accessing the Site.
2. Permitted Use; Prohibited Conduct

Prohibited Conduct: You must not use the Site for any unlawful or fraudulent purpose, attempt unauthorized access, use automated scraping, upload harmful code, misrepresent your identity, spam, or reproduce Site content without permission. We reserve the right to suspend or terminate access for violations.
3. Intellectual Property Rights
All content on the Site is owned by or licensed to Tranquil and is protected under copyright, trademark, patent, and trade secret laws. Tranquil product names (e.g., Attune, Adapt, Access) are trademarks. Their use without permission is prohibited.
4. Quotes, Orders, Projects & Deliverables
Quote Requests are non-binding and informational only. Project Specifications are your responsibility to provide accurately. We are not liable for errors caused by incorrect data. Acceptance / Order Confirmation occurs only when Tranquil issues a written confirmation. Change Orders must be in writing and may affect cost / schedule—delivery, title, and risk transfer as defined in the purchase agreement. Warranty & Performance disclaimers apply unless covered in a separate agreement.
5. Disclaimers; No Warranty
The Site and all content are provided 'as is' and 'as available.' We disclaim implied warranties, including merchantability, fitness for purpose, and non-infringement. We do not guarantee the Site is error-free, secure, or uninterrupted. Any design or technical information is for general reference only.
6. Limitation of Liability
Tranquil will not be liable for indirect, incidental, special, punitive, or consequential damages.
7. Indemnification
You agree to defend, indemnify, and hold harmless Tranquil, its affiliates, officers, directors, employees, and agents from claims arising from your breach of these Terms, misuse of the Site, or violation of law/third-party rights.
8. Termination & Suspension
We reserve the right to suspend or terminate your access at any time, with or without cause. Sections on IP, liability, indemnification, and governing law survive termination.
9. Governing Law & Dispute Resolution
The laws of the State of Michigan govern these Terms and Conditions. Disputes will be resolved in courts located in the State of Michigan. Parties agree to attempt good-faith negotiations before resorting to litigation.
10. Third-Party Sites & Links
We are not responsible for the content or policies of third-party websites linked from the Site. Access at your own risk.
11. User Submissions& Data
By submitting information, you grant Tranquil a license to use it for business operations.

12. Severability, Waiver & Assignment
If any provision is invalid, the remainder remains in effect. Failure to enforce a right is not a waiver. You may not assign rights without Tranquil's consent. Tranquil may assign freely.
13. Entire Agreement
These Terms, with the Privacy Policy, constitute the entire agreement between you and Tranquil.
